1. Scope of Engagement
Toni Tech Solution (operating legally as TTS EH) provides bespoke digital engineering, strategic consultancy, and high-performance infrastructure. Our workflows are resource-intensive, involving dedicated server allocation, intellectual property (IP) creation, and expert man-hours.
2. Commitment & Retention Fees
Project Initiation: A non-refundable Commitment Fee (50%–70%) is required to secure development sprints and architect the project roadmap.
Resource Allocation: Once this fee is paid, TTS EH allocates dedicated engineering and creative resources. Consequently, this fee is strictly non-refundable as it covers the \"Opportunity Cost\" of the reserved development window.

Refunds are only considered for the remaining balance (post-deposit) based on the following audit of work completed:
4. Managed Services & Subscriptions
Hosting & Security: Monthly or annual subscriptions for Managed Hosting & Security are non-refundable.
Cancellation: Notice must be provided 30 days prior to the next billing cycle via our official support channel (contact@tonitechsolution.com).
Creative Assets: Once a Video Ad, Flyer, or Brand Asset is delivered, the sale is final due to the immediate transfer of Intellectual Property.
5. Technical Stalls & Client Delays
The 21-Day Rule: If a project is stalled for more than 21 consecutive days due to a lack of client feedback or content, the project is moved to \"Inactive\" status.
Re-activation Fee: To resume an inactive project, a 15% Re-activation Fee will apply to cover the costs of re-allocating staff and environments.
6. Payment Processing & Governance
EBM Reconciliation: As an RRA-compliant entity, any approved refund will be accompanied by a formal EBM Credit Note or cancellation record. We ensure your institutional tax filings remain accurate throughout the reconciliation process.
Institutional Settlements: All large-scale or international refunds are processed directly through our verified corporate accounts via SWIFT or EFT. This ensures a bank-verified paper trail for your accounting department.
Exclusions: Any third-party fees (Bank charges, MoMo fees, or Domain registration costs) are non-refundable and will be deducted from any agreed-upon refund amount.
7. Dispute Resolution
In the event of a disagreement, both parties agree to a 14-day "Good Faith" negotiation period. If unresolved, disputes shall be settled under the laws of the Republic of Rwanda.
8. Currency & Exchange Rates
Refunds for payments made in RWF will be calculated based on the original RWF amount received at the time of transaction. TTS EH is not liable for fluctuations in the BNR exchange rate or losses incurred during currency conversion for international (USD/EUR) settlements.
